Agreement for Placement of Red Bull Vending Machines in Wal-Mart

Jack Baumann, a private placement service, has been hired by (vendor’s name)___________________ (hereafter referred to as “vendor”), a Red Bull vending operator, to secure ______ (number) Wal-Mart store locations for the vendor’s privately owned Red Bull vending machines.

Jack Baumann will arrange meetings set up with each of the Wal-Mart store managers for vendor to introduce himself as the local Red Bull vending machine operator. At these meetings the vendor and the store manager will be acquainted and chose the locations for the Red Bull vending machines to be placed at the Wal-Mart store.

Vendor agrees to pay each Wal-Mart store .25 cents for each Red Bull beverage sold. Vendor also agrees to furnish a spread sheet of monthly sales attached with a check payable to Wal-Mart, paid monthly at the Wal-Mart customer service desk.

Vendor agrees to maintain all aspects of the Red Bull vending machine. Wal-Mart has no responsibility for maintenance, insurance, etc. The Red Bull vendor is assuming sole responsibility for the machine.

Wal-Mart store locations will be secured by Jack Baumann prior to the Red Bull vendor meeting with each manager.

Vendor agrees to pay Jack Baumann a fee of ____________________(dollar amount written out) per machine. This fee will be paid after vendor meets with each Wal-Mart store manager, there has been mutual agreement, and vending machine spots have been chosen.

The total agreed upon fee will be ____________________(dollar amount written out) for ______(number written out) Wal-Mart stores and ______(number written out) machines. This fee will be paid by bank transfer to Jack Baumann before any vending equipment is placed. This fee is payable after vendor has met with the store manager and secured the Wal-Mart store location.

If for any reason, within the first 15 days, the Red Bull vending machine must be removed due to an unforeseen event Jack Baumann will provide an alternative Wal-Mart store location.

This agreement is true & binding upon signature of both parties.
